BOARD RESOLUTION ESTABLISHING AN OPERATING BRANCH

Institute of Indigenous Inspiration (IOII.life) — Charitable, Educational, Clinical Program

Recitals

WHEREAS, Ile Olodumare Ife Ifa is an existing New York religious corporation whose

formation documents were filed with a county clerk; and

WHEREAS, the governing body desires to organize its charitable, educational, cultural,

community support, and behavioral health initiatives under a designated internal branch

without forming a new corporation; and

WHEREAS, clinical services require separate professional, facility, payer, and program

authorizations as applicable, and the corporation intends to maintain appropriate

separation between religious/spiritual activities and regulated clinical care;

Resolved

1. Branch designation. The corporation establishes the Institute of Indigenous Inspiration

(IOII.life) as an internal operating branch of Ile Olodumare Ife Ifa, not as an independent

corporation. The existing corporation remains the legal entity and retains governance and

fiduciary responsibility.

2. Mission and services. The branch may administer charitable and community

programs, including youth and adult education, workforce development, cultural

preservation, chaplaincy, outreach, case management and other authorized support

services.

3. Clinical and behavioral health initiatives. The branch may develop and coordinate

substance use disorder (SUD) and mental health programs, including screening,

assessments, counseling, treatment planning, recovery support, relapse-prevention

education, care coordination, referral networks, telehealth, and related services, but only

to the extent authorized by applicable law and performed by appropriately licensed,

credentialed, and supervised personnel.

4. Clinical compliance and safeguards. The branch shall implement appropriate clinical

governance, informed consent, confidentiality and HIPAA policies where applicable,

clinical documentation, supervision, quality assurance, incident reporting, client

grievance procedures, and separation of voluntary spiritual services from evidence-based

clinical treatment. Religious participation shall not be a condition of clinical care.

5. Insurance and public programs. The corporation may pursue or maintain commercial

insurance contracts and Medicare and Medicaid enrollments for eligible entities,

professionals, locations and services. Charitable registration or this resolution does not

establish enrollment, provider status, reimbursement eligibility, or authority to furnish

regulated services.

6. Legal name and filings. The corporation shall continue to use its existing legal name.

The officers may review whether an assumed-name certificate, amendment to governing

documents, charity-registration update, or other state filings are necessary before using

IOII.life publicly as a business name.

7. Fiscal and operational oversight. The governing body shall approve budgets, review

financial statements, supervise contracts and clinical risk, and maintain records and

controls appropriate to the branch. Existing EIN use shall be evaluated in light of the

corporation’s actual legal and tax structure.

8. Implementation authority. The CEO and other authorized officers may prepare

proposed policies, applications, and supporting documentation, subject to required board

approvals and agency requirements.

Filing and implementation note

This internal resolution is not itself an amendment to the original certificate of

incorporation. Before filing with a county clerk or state agency, verify the original

certificate, governing provisions, required religious-corporation approvals, assumed-name

requirements, and any clinical licensure or payer enrollment obligations. The precise

parent/branch designation should be confirmed by the board before adoption.
